Association
This Association now and hereafter shall be known as the Texas Newspaper Advertising Managers Association. Its membership to be composed of national, local or online advertising managers and ad directors only who are actually directing advertising departments in Texas and actively engaged in newspaper advertising, properly elected to membership. Publisher's representatives cannot hold membership. Each member shall be entitled to one (1) vote only. In case of absence of any member at regular meeting he may give his proxy to any member in good standing. Changes in by-laws may be made by a two-thirds vote of he members present at any regular meeting.

Meetings
Regular meeting to be held each spring. Emergency or committee meetings may be called on 14 days' notice, by the president, but no changes are to be made in by-laws or policies at such meetings. Only members in good standing permitted at regular or called meetings, except in cases of invited guests decided upon by membership.

Dues
Dues are $150 for newspapers under 30,000 circulation and $200 for newspapers over 30,000 circulation per year, per member paper, of which more than (1) official of any one advertising department shall be entitled to membership. Annual dues may be increased or decreased by a two-thirds vote of the membership at any regular meeting.

Exchange Rights
Ideas or advertising published in member papers or websites shall be available to all association members without cost.

Election of New Officers
Election and installation of officers shall be held at regular meetings in the spring. Officers are chosen for a term of one (1) year only, said term to start immediately following election. In case an elected officer is unable to fulfill his/her duties a replacement may be named by the President with a majority of officer approval.

Affiliation
In case any member of this association shall become connected with a newspaper in another city represented in the association, he shall relinquish all privileges of membership. Should any member's paper acquire ownership of a newspaper in a city where there is already a member, then this membership in this association shall be automatically forfeited. Whenever any member in this association shall leave the newspaper with which he is connected, memberships in that particular city shall be declared open, with the understanding, however, that the newspaper previously represented shall be given prior consideration, but that the new representative shall be subject to the same regulations applied to original new member. In any case, no applicant shall be accepted for membership if objection be made by two or more members in the association.

Membership Rules
Membership shall be obtained from within the State of Texas and only from the advertising departments or online departments of daily or weekly newspapers. Application of membership to be approved by membership committee consisting of the executive officers of the association at the time application for membership is presented.

A newly appointed member shall be subject to the same regulations applied to new members and cannot hold office until he has been a member of good standing for 12 months. If newspaper member does not appoint new representative then membership shall be declared void. Membership rights and privileges shall be forfeited when any member ceases to be actively engaged in newspaper advertising in Texas . A two thirds vote of the membership recalls either officer or member.

Honorary Members
Retiring members may be made lifetime honorary members and another executive of the newspaper represented by the honorary member be nominated an elected to active membership thus vacated so long as said newspaper maintains an active membership.

Non-Attendance
Members failing to attend two consecutive meetings forfeit membership unless reasonable excuse is made to officers and approved by membership.

Procedures
Meetings are to be conducted in round-table fashion with members privileged to bring before the body subjects or problems concerning newspapers and advertising.

Annual Reports
Annual report of achievements of the association is to be prepared by the outgoing Secretary-Treasurer to be presented to all members.
